Terms of service

These terms are the agreement between you and Gridwork Ltd for your use of Leila, including the AED 49 reservation and any subscription that follows. They are written plainly on purpose. That does not make them any less binding, so please read them before you pay.

Who you are contracting with

Leila is operated by Gridwork Ltd, a company incorporated in Innovation City, Ras Al Khaimah, United Arab Emirates under licence number 07011194, with its registered office at Office A, Innovation Business Center, RAK BANK ROC Office, Ground Floor, Al Rifaa, Sheikh Mohammed Bin Zayed Road, Ras Al Khaimah, United Arab Emirates.

In these terms “we”, “us” and “our” mean Gridwork Ltd; “Leila” means the service; and “you” means the person who holds the account.

Accepting these terms

You accept these terms when you tick the box at checkout, pay the reservation, or use any part of Leila — whichever happens first. If you do not accept them, do not pay and do not use the service.

If you are accepting on behalf of a household, you confirm you are entitled to bind the other adults in it to these terms for their use of the account you control.

Who may use Leila

You must be at least 18 years old and be a parent or legal guardian of every child whose information you add, or be authorised in writing by that parent or guardian.

Children do not hold accounts and must not be given your credentials. Leila is a tool for the adults who run a household, not a product for the children in it.

You are responsible for everything done through your account, including by a co-parent, nanny, driver, tutor or relative you invite. Invite carefully: a household member with a seat can see what that seat is scoped to see.

What Leila does

Leila reads the school and activity messages from senders you have approved, summarises them, extracts what needs doing, prepares forms, drafts replies, keeps a record for each child and briefs the household members you nominate.

She is an assistant working on your instructions. She holds no independent authority, cannot enter into agreements on your behalf, and is not your agent in any legal sense.

Leila is currently pre-launch. Features described on the website are what we are building; the service you receive at activation is the service as it exists on that date.

What always waits for you

Leila will not, without an explicit approval from you at the time: make or authorise a payment; sign, consent to or submit anything; send a message in your name to a third party; change a child’s medical or dietary record; add a new sender or a new person to your household.

This boundary is a core part of what you are paying for. If we ever want to move it, we will ask you first and you will be free to refuse and keep using the service.

The AED 49 reservation

Paying AED 49 reserves a place in the founding cohort for the city you nominate. It is a one-off payment. No subscription is created, no card is stored for a future debit, and nothing further is charged unless and until you choose to subscribe.

The AED 49 is held as a credit on your customer record and is applied in full against your first month of subscription when you activate. If you never activate, it is refundable under the refund policy, which forms part of these terms.

The reservation is personal to you. It cannot be sold, transferred or assigned, and it does not guarantee a launch date — it guarantees your place in the queue and your price when we open where you are.

The founding rate

Founding members pay AED 49 per month for as long as the subscription remains continuously active. The standard price at launch is AED 99 per month.

If the subscription is cancelled, lapses, or fails to renew for more than 30 consecutive days, the founding rate ends. Any new subscription is at the price then published.

The founding rate applies to the household plan. Additional seats for helpers are charged at the published seat price and are not discounted by it.

Billing, tax and renewal

Subscriptions are billed monthly or annually in advance through Stripe and renew automatically until you cancel. We do not store your full card number; Stripe does, under its own terms and its PCI-DSS certification.

All prices are in UAE dirhams (AED). Where value added tax applies, it is shown at checkout and included in the amount charged.

If a renewal payment fails, we will retry and email you. If it has not succeeded after 14 days we will suspend the account rather than keep retrying indefinitely.

Cancelling

You can cancel at any time from inside your account, with no call and no retention script. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.

Cancelling does not by itself delete your data. Deleting the account does, and is a separate action you control — see the privacy policy.

Connected accounts

When you connect an email, calendar or messaging account you grant Leila permission to access only the senders, calendars and threads you approve. We ask for the narrowest access the provider offers that still lets the feature work.

You can withdraw that access at any time, from inside Leila or from the provider directly. Withdrawing it will stop parts of the service working, and we will tell you which.

We never ask for a password to your email, your bank or any other site, and you should never give us one. School portals are the single exception, and only if you choose to connect one. Clause 11 sets out what that involves.

Connecting a school portal

You may connect a school portal so that Leila can read it and prepare work you would otherwise do by hand. This is optional and everything else works without it.

Check that you are allowed to. Many school portals’ own terms restrict sharing your login or using automated access, and that agreement is between you and your school, not between you and us. By connecting a portal you confirm that the account is yours, that you are permitted to give us access to it, and that doing so does not breach your agreement with the school. If you are not sure, ask the school first — in our experience they usually say yes, and a written yes is worth having.

What we will do: sign in as you, read what is posted, and fill in forms. What we will not do: change your password, change anything about your account, contact anyone through the portal, or submit or pay anything without your explicit approval of that specific thing.

Leila acts as you. Anything she submits with your approval is your submission and binds you the same way as if you had typed it, so please read what she shows you before you tap. A submitted form and a paid fee cannot be recalled.

Portals change without warning. If one changes in a way Leila cannot follow, she stops and tells you rather than guessing — but we cannot promise she will always notice in time, and you remain responsible for deadlines. Treat portal automation as help, not as a guarantee that something was filed.

You can disconnect a portal at any time, which deletes the login we hold immediately. We may disconnect one ourselves if the school asks us to, if we think the access is being misused, or if continuing would put your account at risk.

Your family’s information

The information you and your approved senders provide stays yours. We do not sell it, we do not share it for advertising, and we do not use your family’s content to train third-party models.

You grant us only the licence we need to run the service for you: to store, process, summarise and display that information to you and to the household members you have authorised.

You can export everything Leila holds about your family, or delete the account and its history, in one step from inside the product.

Acceptable use

Do not use Leila to break the law; to impersonate another parent, guardian or member of school staff; to obtain information about a child you are not responsible for; or to harass anyone.

Do not attempt to extract, reverse-engineer, scrape or resell the service, probe it for vulnerabilities without our written permission, or use it to build a competing product.

We may suspend an account immediately and without notice where there is a credible risk to a child, to another user, or to the integrity of the service. We will tell you why as soon as it is safe to do so.

Changes to the service

We will add, change and withdraw features. That is what building a product is. If a change materially reduces what you are paying for, we will tell you before it takes effect and you may cancel and receive a pro-rata refund of the unused period.

We aim to keep Leila available, but we do not promise uninterrupted service. Planned maintenance will be announced in advance where we can.

What an AI assistant cannot promise

Leila is an AI assistant and she can be wrong. She can misread a message, miss one, or summarise it in a way that loses something that mattered.

She does not give medical, legal, financial or educational advice, and her summary is not a substitute for reading an important message yourself. Decisions about your children remain yours.

We work hard on accuracy and we will fix what we get wrong, but we do not warrant that every deadline will be caught or every form correctly completed. Treat her as a very good assistant, not as an oracle.

Our intellectual property

Leila, the Leila name and mark, the software, the interface and everything we publish are owned by us or our licensors. Nothing in these terms transfers any of it to you.

You get a personal, non-exclusive, non-transferable licence to use the service for your own household for as long as your account is active.

Third parties

Leila works with services we do not control — Stripe for payments, your email and calendar provider, your school’s own systems, and the AI model providers that do the language processing under zero-retention, no-training terms.

We choose them carefully and hold them to contracts, but we are not responsible for their own acts, outages or decisions, and a school changing how it communicates is not a breach of these terms by us.

Suspension and ending the agreement

You may close your account at any time. We may end this agreement on 30 days’ written notice, or immediately for a serious or repeated breach of clause 13, and will refund any unused paid period.

On termination your licence ends and access stops. Your data is retained for 30 days so you can change your mind, and then deleted.

Liability

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including for death or personal injury caused by negligence, or for fraud.

Subject to that, our total aggregate liability to you in any twelve-month period is limited to the amount you actually paid us in that period.

We are not liable for indirect or consequential loss, for loss of profit or opportunity, or for loss arising from a school, activity provider or third-party platform changing or failing.

These limits are a deliberate part of the price. We are charging tens of dirhams a month, not underwriting the consequences of a missed school deadline, and we would rather say so plainly than bury it.

If something goes wrong

Write to hello@hileila.com. We acknowledge within one business day and give you a substantive answer or a clear timeline within five.

If you are not satisfied, ask for it to be escalated and a second person will review it. We would much rather resolve a complaint directly than have you raise a chargeback with your bank, which costs us both time and tells us nothing we could have acted on.

Consumer rights

If you are a consumer in the United Arab Emirates, you have rights under Federal Law No. 15 of 2020 on Consumer Protection and its implementing regulations. Nothing in these terms reduces those rights, and where a term here conflicts with them, those rights win.

Changes to these terms

We may update these terms. If a change materially affects your rights or what you pay, we will email you at least 30 days before it takes effect, and you may cancel before then without penalty.

The date at the top of this page is always the date of the version you are reading. Continuing to use Leila after a change takes effect means you accept it.

Governing law and jurisdiction

These terms and any dispute arising out of them are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah.

The courts of Ras Al Khaimah have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the emirate where you live.

Odds and ends

If any part of these terms is found unenforceable, the rest stays in force. A delay in enforcing a term is not a waiver of it.

We may transfer our rights and obligations under these terms to another company — on a sale of the business, for example — and will tell you if we do. You may not transfer yours without our written consent.

These terms, together with the privacy policy, the refund policy and the cookie policy, are the whole agreement between us about Leila.
